This agreement (the Agreement) defines the conditions for connecting and using the recurring payment mechanism and is concluded between ULTRA-VPN LTD, the owner of the website https://ultravpn-ltd.com (the Contractor), and an individual with full legal capacity (the Client) who accepts the Terms of Service by using the Contractor's website and expressing the intention to pay for services by bank card on the terms of automatic recurring charges.
Completion of an order by the Client confirms full and unconditional acceptance of all terms of this Agreement.
By clicking the "Continue" button in the Application or on the website, the Client confirms that they have read the terms of this Agreement, understood them and accept them as legally binding.
For the purposes of this Agreement, the following terms have the meanings below:
1.1. Agreement means this document published on https://ultravpn-ltd.com.
1.2. Client means an individual with full legal capacity who accepted the Terms of Service.
1.3. Website means the Contractor's internet resource located at https://ultravpn-ltd.com, containing information about the services provided.
1.4. Terms of Service means the terms of service published on the Website.
1.5. Recurring payment service means the set of technical and organisational means that ensure automatic repeated charging of the Client's bank card.
1.6. Bank means the credit institution that issues and services bank cards.
1.7. Bank card means a payment instrument issued by the Bank and used by the Client for cashless payments.
1.8. Processing centre means an automated bank card transaction processing system.
1.9. Personal data means information relating to a directly or indirectly identifiable individual.
2.1. This Agreement regulates the procedure for connecting and using the recurring payment service to pay for the Contractor's services under the Terms of Service.
2.2. After activation of the service, the Contractor is entitled to automatically charge funds from the Client's bank card in the amount and within the timeframes set by the Terms of Service.
2.3. Automatic charges are made according to the paid period. The Contractor may refrain from sending separate notifications about each charge unless otherwise required by subscription terms or applicable law.
2.4. The Client independently monitors subscription status, validity period and charges, and is responsible for timely disabling the service if it is no longer needed.
2.5. The recurring payment service is connected by the Client performing the actions provided by the Website interface, including confirmation of acceptance of the Terms of Service and this Agreement, as well as successful completion of the initial payment.
2.6. The recurring payment service is considered activated from the moment the initial payment transaction is successfully completed.
3.1. Funds are charged automatically at the end of the paid period according to the subscription terms, without any additional confirmation from the Client.
3.2. Direct debiting of funds is carried out by the bank that issued the Client's bank card.
3.3. The Contractor does not store or process the Client's bank card details.
3.4. The Contractor does not guarantee successful completion of payment operations, since they depend on the technical and organisational capabilities of the Bank and payment systems.
3.5. The Client confirms that they use the bank card lawfully and enter accurate payment details.
3.6. Use of the service is possible only where technically supported by the Contractor, the Bank and the processing centre.
3.7. The Client may refuse the services at any time. Cancellation is performed by disabling recurring charges in the Application or by contacting support at support@ultravpn-ltd.com.
After recurring charges are cancelled, the Client's payment data is fully deleted from the system. Services may be used again only after a new subscription is arranged.
3.8. If funds on the bank card are insufficient, the Contractor may initiate additional debit attempts.
4.1. The Contractor may refuse connection to or use of the recurring payment service for technical, legal or other justified reasons.
4.2. The Contractor may unilaterally amend the terms of this Agreement. The current version is published on the Website and enters into force from the moment of publication unless another effective date is specified.
4.3. The Contractor is not liable for temporary interruptions or inability to use the recurring payment service caused by circumstances beyond its control.
4.4. The Client undertakes to promptly notify the Contractor of the replacement, loss or compromise of the bank card used for payment.
4.5. Use of third-party bank cards is permitted only on lawful grounds and is carried out under the Client's full responsibility.
4.6. The Contractor may suspend or terminate use of the recurring payment service if charging funds is impossible or if violations of this Agreement are detected.
4.7. The parties are released from liability for partial or total non-performance of obligations if such non-performance results from force majeure, provided proper notice is given to the other party.
5.1. This Agreement is valid for the term of the Terms of Service and is automatically extended for the same period unless otherwise provided.
5.2. The Agreement may be terminated at the initiative of either party in accordance with applicable law.
5.3. The Contractor may terminate this Agreement unilaterally if the Client violates its terms.
5.4. All disputes and disagreements arising in connection with this Agreement are resolved through negotiations and compliance with a mandatory claim procedure.
5.5. The period for reviewing a claim is 10 business days from receipt.
5.6. If no agreement is reached, the dispute shall be considered in the courts of England and Wales.
